Pomerleau Completes Acquisition of Groupe ALLEN to Expand Water Infrastructure Expertise

Pomerleau has completed its acquisition of Groupe ALLEN, bringing the Quebec-based general contractor into its organization while expanding Pomerleau’s capabilities in water infrastructure and specialized construction.

Groupe ALLEN has operated for nearly 80 years and specializes in water treatment, process mechanics, directional drilling, formwork and earthworks. Following completion of the transaction, Groupe ALLEN is now a subsidiary of Pomerleau but will continue operating under its existing name and leadership team.

The combination brings together two Quebec construction companies with complementary expertise as communities face increasing requirements to modernize essential infrastructure.

Growing Demand for Water Infrastructure

Water infrastructure represents an important part of the acquisition.

Investment requirements are expected to increase over the coming decades as aging infrastructure, population growth and evolving environmental requirements create demand for the modernization of water systems.

By combining Pomerleau’s construction capabilities with Groupe ALLEN’s specialized experience, the companies expect to increase their ability to pursue and deliver infrastructure projects across Quebec.

Groupe ALLEN’s expertise in water treatment and process mechanics is complemented by its capabilities in directional drilling, earthworks and concrete formwork, providing services that can support complex municipal and infrastructure projects.

Groupe ALLEN to Retain Its Name and Leadership

While Groupe ALLEN is now a Pomerleau subsidiary, the company will maintain its existing identity.

Its current leadership team and management will remain in place, while clients, suppliers and specialized trade partners will continue working with the Groupe ALLEN teams with whom they have established relationships.

Pomerleau said its objective is to build on Groupe ALLEN’s existing operations and support the company’s next stage of growth rather than replace the strengths and local relationships developed over its history.

The structure is also intended to provide employees across both organizations with access to new opportunities as the combined companies pursue larger and more complex projects.

Combining Construction Expertise and Project Capacity

The acquisition follows recent collaborations between Pomerleau and Groupe ALLEN that demonstrated complementary capabilities between the two organizations.

Pomerleau President and CEO Philippe Adam said those projects also demonstrated alignment between the companies’ approaches and long-term objectives.

The combination is expected to provide clients with access to a broader range of construction expertise while increasing capacity to deliver large-scale projects.

For Groupe ALLEN, joining Pomerleau also provides additional resources to support future growth.

Groupe ALLEN CEO Jean-Philippe Lefebvre described the acquisition as a continuation of the company’s recent transformation and an opportunity to pursue further development while retaining its identity.

Supporting Quebec’s Future Infrastructure Needs

The acquisition positions Pomerleau and Groupe ALLEN to pursue opportunities associated with the modernization and expansion of infrastructure across Quebec.

Water and wastewater systems require specialized construction expertise spanning civil works, mechanical systems, underground infrastructure and other disciplines represented within the combined organizations.

As municipalities and other infrastructure owners address aging assets and future capacity requirements, contractors capable of delivering larger and increasingly complex infrastructure projects could play an important role in that investment.

Pomerleau says the combination of the two organizations will increase its range of expertise and project delivery capacity while maintaining Groupe ALLEN’s established local presence and industry relationships.

The transaction has now closed following receipt of the required approvals and satisfaction of closing conditions. Canaccord Genuity Group Inc. served as mergers and acquisitions advisor to the sellers.
